This is a template pending legal review

This policy was drafted from SaaS-standard language and has not yet been reviewed by ManagePickleball’s attorney. It’s published in good faith as a starting point. If you need a fully-reviewed version for an enterprise procurement process, contact legal@managepickleball.com.

1. Acceptance of Terms

These Terms of Service (“Terms”) are a binding agreement between ManagePickleball, Inc. (“ManagePickleball,” “we,” “us,” or “our”) and the individual or entity (“Customer,” “you,” or “your”) using our Services. By creating an account, clicking “I agree,” or otherwise using the Services, you represent that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and “Customer” will refer to that organization.

If you do not agree to these Terms, you may not access or use the Services.

2. Definitions

  • “Services” means the ManagePickleball software-as-a-service platform, including the web application, APIs, documentation, and related features made available at managepickleball.com and its subdomains.
  • “Customer Data” means any information, content, or data that Customer or End Users submit to or generate through the Services, including facility details, customer records, bookings, waivers, signatures, and payment information.
  • “End Users” means Customer’s staff, employees, contractors, and the consumers who interact with Customer’s facility through the Services (e.g., people booking courts).
  • “Subscription” means the paid plan (Starter, Pro, or Elite, or any successor plan) that Customer has purchased to access the Services.

3. Account Registration

To use the Services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@managepickleball.com if you believe your account has been compromised.

You must be at least 18 years old and legally capable of entering into a binding contract to create an account.

4. Subscription Plans, Trials, and Payment

4.1 Free Trial

ManagePickleball offers a 14-day free trial for new accounts. No credit card is required to start the trial. At the end of the trial period, your access continues only if you have chosen a paid plan. A 7-day grace period begins if you do not select a plan, during which you can still access limited features before access is suspended.

4.2 Fees and Billing

Subscription fees are set out on our pricing page and are subject to the plan you select. Fees are charged in advance on a monthly or annual basis depending on the billing cycle you choose. All fees are non-refundable except where expressly required by law or as otherwise set out in these Terms.

Payments are processed through Stripe. By submitting payment information, you authorize ManagePickleball and Stripe to charge your payment method for the subscription fees and any applicable taxes. If a payment fails, we may suspend access to the Services until the balance is paid.

4.3 Upgrades, Downgrades, and Cancellations

You may upgrade or downgrade your plan at any time through the Billing page in your dashboard. Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period. Cancellations take effect at the end of the current billing period and do not entitle you to a refund of pre-paid fees.

5. Customer Payments and Stripe Connect

ManagePickleball uses Stripe Connect in direct-charge mode. Payments made by your End Users flow directly to your Stripe account. ManagePickleball does not take custody of, hold, or otherwise touch End User payment funds. Your relationship with Stripe is governed by Stripe’s Connected Account Agreement.

You are solely responsible for collecting, remitting, and reporting applicable taxes on bookings processed through the Services. ManagePickleball applies the tax rate you configure but does not determine the correct rate for your jurisdiction.

6. Customer Data

6.1 Ownership

You retain all right, title, and interest in and to Customer Data. Nothing in these Terms transfers ownership of Customer Data to ManagePickleball.

6.2 License to Operate

You grant ManagePickleball a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Data solely to the extent necessary to provide, maintain, improve, and secure the Services for you and your End Users.

6.3 Privacy and Security

Our handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We maintain industry-standard security practices including encryption in transit, encrypted backups, row-level security between facilities, and regular security reviews.

6.4 End User Data

You are the data controller for your End Users’ personal information. ManagePickleball acts as a data processor on your behalf. You are responsible for obtaining any consents required under applicable law (including GDPR, CCPA, and similar regulations) before collecting End User data through the Services.

7. Acceptable Use

Your use of the Services is subject to our Acceptable Use Policy. You agree not to (a) reverse engineer or otherwise attempt to derive the source code of the Services; (b) resell, sublicense, or make the Services available to any third party except your authorized End Users; (c) use the Services to transmit unsolicited commercial messages, spam, or content that is illegal, harmful, or infringing; (d) interfere with the security, integrity, or performance of the Services; or (e) use the Services to build a competing product.

8. Intellectual Property

The Services, including the software, designs, text, images, and all other content (other than Customer Data), are owned by ManagePickleball and protected by copyright, trademark, and other laws. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business operations during the term of your Subscription.

ManagePickleball’s name, logo, and related marks are trademarks of ManagePickleball. You may not use these marks without our prior written permission, except to identify the Services as a product you use.

9. Feedback

If you provide suggestions, ideas, improvements, or other feedback about the Services, you grant ManagePickleball a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without compensation or attribution to you.

10. Warranties and Disclaimers

ManagePickleball will provide the Services with commercially reasonable care and skill. Except as expressly set out in these Terms, the Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all implied warranties including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, ManagePickleball’s total aggregate liability arising out of or related to these Terms, whether in contract, tort, or otherwise, will not exceed the greater of (a) the fees you paid to ManagePickleball in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

ManagePickleball will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

12. Indemnification

You agree to defend, indemnify, and hold harmless ManagePickleball and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your Customer Data, (b) your use of the Services in violation of these Terms, or (c) your violation of any applicable law or third-party rights.

13. Termination

Either party may terminate these Terms at any time. You may cancel your account through the Billing page. ManagePickleball may suspend or terminate your access immediately if you breach these Terms, if your payment is delinquent, or if we are required to do so by law.

On termination, your right to access the Services ends. You may export your Customer Data for up to 30 days after termination by requesting an export at support@managepickleball.com. After 30 days, we may delete your Customer Data, subject to any legal retention obligations.

14. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we’ll notify you by email or through the dashboard at least 30 days before the change takes effect. Your continued use of the Services after a change indicates your acceptance of the updated Terms. If you don’t agree to the change, you must stop using the Services before the change takes effect.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms will be resolved exclusively in the state or federal courts located in Harris County, Texas, and both parties consent to the personal jurisdiction of those courts.
